Terms of Service

1. Who we are

These terms are an agreement between your business and FinThinkers (SMC-Private) Limited, operating under the DeFogger brand ("we", "us"). FinThinkers is a company incorporated in Pakistan. Registered office: 702, Al-Ahad Heights, Rabia Banglows, Defence Chowk, Rawalpindi, Punjab. SECP registration number: 0354094. DeFogger is operated by FinThinkers (SMC-Private) Limited.

2. Who these terms are for

DeFogger is for businesses. "You" means the business that uses DeFogger and the person who signs it up. By creating a business on DeFogger, or by paying for it, you confirm that you may agree to these terms for that business.

3. What DeFogger is

DeFogger is software you use in a web browser, on a phone or a computer. It records your sales, purchases, stock, payments, expenses and running accounts, closes your day, and makes your bills, receipts and reports. It keeps a copy of your books on your own device, so you can keep billing when the internet stops, and it catches up when the line returns.

A practice business with sample figures is open to everyone at defogger.app/demo, free and with no sign-up. Nothing in it is real.

4. How you start

1. You try the demo, and talk to us.
2. You pay for onboarding (section 5).
3. We set up your business with you.
4. Your business goes live: the day you start recording your real business on DeFogger. We write that day down and tell you.
5. Your subscription starts on that day (section 6).

5. Onboarding and business setup

Onboarding is a service our team performs once: setting DeFogger up for your kind of business, bringing in your starting information where you have it, checking your opening figures with you, adding your staff, and training you. Its price, and what it includes, are on our Pricing page.

• You can pay it at once, or in two payments. The second payment is due one month after the first.
• Anything unusually large, or outside the standard service, is priced and agreed with you before we do it.
• You agree to give us correct information, and to be available when we need you. We agree to do the work with care and keep you told of where it stands.
• If you chose two payments, the second payment is still due once the onboarding work is done, even if you then stop using DeFogger.

6. Subscription and prices

• The subscription is for one business, for a month or for a year, at the price on our Pricing page on the day you pay.
• Your first period starts on the day your business goes live. Each payment after that adds one month or one year to the end of your current period. If your period has already ended, it counts from the day we confirm your payment.
• If we change a price, we tell you at least 30 days before it applies to you. A change never touches a period you have already paid for.

7. Invoices and how you pay

• Each payment has an invoice with its own number. It is due 7 days after it is made.
• Today you pay by bank transfer into FinThinkers' bank account, shown on the invoice, using the invoice number as the reference. Then you tap "I have paid". While we check your payment, your business stays open for up to 3 days. When we find it, we send you a receipt.
• If we offer payment by card in the future, you will type your card details on the bank's own secure page. We never see or keep your card details.

8. Taxes

Prices are before tax. We add a tax only where the law requires us to charge it, and it is shown on your invoice before you pay. An invoice is called a tax invoice only when it carries our registration with the tax office.

9. No automatic renewal

We never charge you automatically. Each month or each year, you choose whether to pay. We remind you before your period ends, in the app and by email if you have confirmed an email address.

10. How the service is delivered

DeFogger is online software. Nothing is shipped to you. You use it at defogger.app, at your business's own web address, from the day you go live. A renewal applies as soon as we confirm your payment. If we cannot start a period you have paid for, you get your money back (see our Refund Policy).

11. When a subscription ends

• On the day your paid period ends, DeFogger becomes read-only for your business. You can still open, print and export every record. You cannot add new sales, purchases, payments or expenses.
• Nothing is deleted because a subscription ended. Pay again at any time and you carry on where you stopped.
• If we ever plan to close a business that has not renewed for a long time, we will tell you at least 30 days before, so you can export your records first.

12. Stopping, refunds and payment disputes

How to stop is in our Cancellation Policy. When money is given back is in our Refund Policy. What to do about a payment you think is wrong is in our Payment Disputes Policy. All three are part of these terms.

13. Your books are yours

The records you enter belong to your business. We keep them only to run, back up and support your account, as our Privacy Policy explains. You can export them at any time, and you can ask us to delete them. You are responsible for what you and your staff enter.

14. Your account and your staff

• Keep your username and PINs to yourself. Give each staff member their own PIN.
• You are responsible for what is done by the people you give access to.
• If you think someone else has got into your business, tell us at once.

15. Your tax and legal duties

DeFogger gives you figures, and shows where each figure came from. Your tax position is yours to decide. You file your own tax returns, and you check the figures before you use them. We never file anything with a tax office for you.

16. Fair use

Use DeFogger only for your lawful business. Do not try to reach another business's records, to harm or overload the service, or to copy, sell or rent out the software. If a business does this, we may stop its access. We will tell you why first, unless we must act at once to protect other businesses.

17. Keeping the service running

We work to keep DeFogger running every day. There may be short breaks for updates or repairs. Your device keeps billing during a break, and catches up afterwards. We keep locked backups every night. We cannot promise that the service will never stop.

18. The limits of our responsibility

• We are responsible for doing our work with reasonable care and skill.
• We are not responsible for a loss that comes from figures entered wrongly, from a business decision you make, or from things outside our control, such as a power cut, an internet failure or a fault at a phone company.
• For any claim, our total responsibility is limited to the amount you paid us in the 12 months before it.
• Nothing in these terms limits a responsibility that the law does not allow to be limited.

19. Changes to these terms

If we change these terms, we update the version and the date at the top of this page. For an important change, we also tell you by email or WhatsApp at least 14 days before it applies. If you do not accept a change, you can stop renewing.

20. Law and courts

These terms are governed by the laws of Pakistan. If there is a disagreement, please talk to us first: most things are settled that way. If it cannot be settled, the courts at Rawalpindi decide it.
